1. Introduction

These Terms of Service ("Terms") govern your access to and use of Sharp Talk AI ("Service"), an AI meeting support and note-taking assistant. By using the Service, you agree to these Terms.

2. User Responsibilities

  • You are responsible for complying with all applicable local, state, federal, and international laws.
  • You must obtain informed consent from all meeting participants before any recording, monitoring, transcription, or screen capture.
  • You are solely responsible for deciding when to enable or disable audio, transcription, screenshot, and focus mode features.
  • You are responsible for activity under your account and safeguarding account credentials.

3. Focus Mode and User-Controlled Activation

  • Focus mode is optional and user-controlled.
  • The Service does not automatically start recording, transcription, or screen capture without user action.
  • You are solely responsible for lawful use of focus mode and any capture-related features.

4. Acceptable Use

  • No unlawful recording, surveillance, stalking, harassment, or unauthorized interception of communications.
  • No use that infringes privacy, intellectual property, or other legal rights.
  • No abuse, reverse engineering, or attempts to disrupt Service integrity or security.

5. Customer Data Ownership

You retain ownership of your meeting content, files, and account data. You grant us only the limited rights required to host, process, and secure the Service.

6. Indemnification

You agree to defend, indemnify, and hold harmless Sharp Talk AI and its operators from claims, damages, liabilities, penalties, fines, and expenses (including reasonable attorneys' fees) arising from your unlawful use, policy violations, or failure to obtain required consent.

7. Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, Sharp Talk AI is not liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or loss of data, revenue, goodwill, or business opportunity. We are not liable for claims arising from how you choose to use capture or focus mode features, including consent or compliance failures by you.

9. Termination

We may suspend or terminate access if you violate these Terms, misuse the Service, or create legal, security, or operational risk.

10. Governing Law

These Terms are governed by applicable law in the jurisdiction of our principal place of business, unless another governing law is required by mandatory legal rules.
